Lease Deed Registration in Haryana & Delhi

What it is

A lease deed is the document by which an owner (lessor) gives another person (lessee) the right to use a property for a fixed period against rent or a premium. Registration means signing it before the Sub-Registrar, who records it in the public register.

Section 17(1)(d) of the Registration Act, 1908 makes registration compulsory for leases from year to year, for any term above one year, or reserving a yearly rent. Section 107 of the Transfer of Property Act, 1882 says such a lease can be made only by a registered instrument. Who it applies to

Businesses taking premises for years

A shop, office or warehouse on a three, five or nine-year lease. Lenders, landlords and the ROC treat a registered lease as proof of your right to occupy.

Landlords granting long leases

If you let a floor or plot for more than a year, only a registered deed lets you enforce the lock-in, escalation and exit terms later.

Tenants paying a premium or deposit

Where you pay a large upfront amount, the deed should say what it is for and how it comes back. Registration keeps that clause from being disputed.

Why it matters

An unregistered lease may not hold

Under Section 49 of the Registration Act, an unregistered document that needed registration does not affect the property and is not evidence of the transaction. Picture a five-year shop lease signed on plain paper. It may protect nobody.

Short stamping costs you later

Under Section 35 of the Indian Stamp Act, a short-stamped document is not admitted in evidence until duty and a penalty are paid. The penalty can reach ten times the deficit.

It backs up other filings

A registered lease backs up a company’s registered office address and a GST or shop registration. Our GST registration team uses it as the premises proof.

Stamp duty on a lease is set by Article 35 of the stamp schedule. It depends on the length of the lease and the average yearly rent, and a premium or advance is treated separately. The rate differs between Haryana and Delhi, so we compute it on the portal for your case before you pay.

Picture a Faridabad auto-parts maker taking a Ballabgarh shed for five years. Rent escalates each year, and the bank wants proof of the premises for a working-capital limit. A registered lease serves both purposes. An 11-month agreement would force a fresh stamp and signing every year.

Timelines

Register within four months

Under Section 23 of the Registration Act, the deed must be presented for registration within four months of execution. Plan the registration visit before you sign.

Haryana online process

Haryana’s online deed registration portal has been mandatory statewide since 1 November 2025. You upload, pay online and choose an appointment, then visit once for biometrics and signing.

Renewal of the lease

If you extend the lease, a new deed or a registered extension is needed. Diarise the end date at least a month ahead.

What happens if the lease is not registered

The lease may not hold

An unregistered lease that needed registration does not affect the property and is not evidence of the transaction under Section 49. Your right to stay would rest on the landlord’s goodwill.

Stamp deficiency penalty

Short-stamped documents are not admitted in evidence until duty is paid with a penalty of ₹5 or up to ten times the shortfall, whichever is more.

Trouble with other filings

Banks, the ROC and the GST portal want proof of premises. A missing registered lease can hold up an address change or a loan.

Frequently asked questions

Is registration of a lease deed compulsory in India?

Yes, for leases of immovable property from year to year, for a term above one year, or reserving a yearly rent, under Section 17(1)(d) of the Registration Act, 1908. A tenancy of 11 months or less without a yearly rent can stay unregistered. Most commercial leases cross the one-year line, so we usually register them. We confirm this for your terms first.

What is the time limit to register a lease deed?

The deed must be presented for registration within four months of the date it is executed, under Section 23 of the Registration Act. Past that, registration needs the Registrar’s permission and a fine. We time the signing and the appointment together so the four months never become an issue.

What happens if I do not register my lease?

An unregistered lease that needed registration does not affect the property and cannot be used as evidence of the transaction, under Section 49 of the Registration Act. Your possession may then be at risk. If you already signed on plain paper, we can help you work out the cleanest way to register or re-execute.

How is stamp duty on a lease calculated?

Stamp duty depends on the term of the lease and the average yearly rent, plus any premium or advance, as laid down in Article 35 of the stamp schedule. The rate differs between Haryana and Delhi. How do I pay stamp duty in Haryana?

You pay through e-stamp paper or a GRN generated on the e-GRAS portal, and the paid challan is attached to the deed. We generate the GRN, check that the amount matches the deed and bring the proof to the registration appointment. Stamp duty paid in the wrong category or amount can be hard to reclaim.

Do both parties need to visit the Sub-Registrar?

Yes, the lessor and lessee, or their authorised representatives, and two witnesses attend for identification and signing. In Haryana the rest of the process is online, so it is one visit. If a party cannot attend, a properly executed power of attorney can work. We prepare the checklist beforehand.

Is GST charged on commercial rent?

Yes, rent on commercial property is generally taxable at 18% when the landlord is registered. Residential property let for residence is exempt, except where it is rented to a registered person from 18 July 2022. We flag the GST and TDS position when drafting, so rent clauses state who bears what.

Can I use a registered lease as my company’s registered office proof?

Yes, a lease or rent agreement in the company’s name, with a rent receipt not older than one month, is accepted under Rule 25(2) of the Companies (Incorporation) Rules, 2014, along with the owner’s authorisation.
