DIR-3 KYC Filing for Directors
DIR-3 KYC keeps your DIN alive. Every DIN holder files it with the Ministry of Corporate Affairs, and from 31 March 2026 it is due once every three financial years, by 30 June, instead of every year by 30 September. Company directors and LLP designated partners both file it. Miss it, and the fix costs ₹5,000.
What it is
Every person holding a Director Identification Number (DIN) must periodically confirm that the mobile number, email address and residential address in the Ministry of Corporate Affairs’ records are correct. That confirmation is DIR-3 KYC. The form is short, but skip it and your DIN gets frozen.
This comes from Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014. The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (G.S.R. 943(E) dated 31 December 2025) changed it with effect from 31 March 2026. You now file a single form, DIR-3 KYC Web, on the MCA V3 portal, verifying your personal mobile and email by OTP.
What changed in 2026
If you filed every September for the last few years, the routine has changed.
| Point | Old rule (till 30 March 2026) | New rule (from 31 March 2026) |
|---|---|---|
| How often | Every financial year | Once every three consecutive financial years, plus an update within 30 days of any change in mobile, email or address |
| Due date | 30 September | 30 June of the year after the third financial year |
| Form | DIR-3 KYC e-form the first time, then DIR-3 KYC-WEB | One form: DIR-3 KYC Web |
| Late filing or reactivation fee | ₹5,000 | ₹5,000 |
Here is the catch: the three-year cycle runs from the financial year in which your DIN was allotted, not from the date you last filed. Take a Faridabad manufacturing company with two directors. One has held a DIN since 2019; the other got hers in August 2025. The first files by 30 June 2028, the second by 30 June 2029. An interim update in between restarts neither clock.
Who it applies to
Directors of any company
Private, public, one person, Section 8 and Nidhi companies are all covered. If you hold a DIN as on 31 March of a financial year, the cycle applies.
Designated partners of LLPs
A designated partner with a DIN follows the same rule and due date as a company director.
Foreign nationals and NRIs
Foreign directors must file with their passport. Supporting copies are notarised and apostilled, or consularised, in the country of residence.
Directors with new contact details
Say you shift from Faridabad to Noida in May. MCA must have the new address within 30 days, through Form DIR-3 KYC Web signed with your DSC and certified by a practising CA, CS or CMA. Your three-year date stays put.
Directors with a deactivated DIN
A common case: a director of a Faridabad trading company that stopped operations in 2023 skipped that year’s KYC. The DIN now reads “Deactivated due to non-filing of DIR-3 KYC” until Form DIR-3 KYC Web goes in with the ₹5,000 fee.
Directors who have resigned
Resigning from a board does not cancel your DIN. As long as the DIN is valid, the KYC cycle keeps running.
Why it matters
Keep your DIN usable
You need an active DIN to act as a director and to sign MCA filings such as financial statements and annual returns.
Keep the company’s filings moving
When one director’s DIN is frozen, every MCA filing that needs that DIN is blocked. One missed KYC can hold up the company’s annual ROC compliance.
Skip the ₹5,000 reactivation fee
On time, the government fee is nil. Late, or to reactivate a frozen DIN, it is ₹5,000. Same form, different bill.
Documents required
Keep these ready
- PAN (for Indian directors)
- Aadhaar for Indian directors, or passport for foreign nationals
- A personal mobile number and email ID unique to you, for the OTPs
- Proof of your current residential address
Add these if a detail has changed
- A valid DSC of the director, compulsory for any change filing (we can arrange a digital signature certificate if yours has expired)
- A bank statement or utility bill showing the new address
- Certification by a practising CA, CS or CMA, which we provide
Add these if you are a foreign or NRI director
- Passport (mandatory for foreign nationals)
- Address proof from the country of residence
- Copies notarised and apostilled, or consularised
- English translation of any document in another language
How it works
Check your DIN status and due date
We look up your DIN on the MCA V3 portal, confirm it is active, and work out your due date from the year of allotment.
Tell us what has changed
If your mobile, email or address has changed, we prepare an update filing instead of a routine one.
Verify the OTPs and sign
In practice, a routine filing takes one phone call. MCA sends OTPs to your personal mobile and email, and you read them out while we fill the form. For an update, you also sign with your DSC and our practising professional certifies it.
File Form DIR-3 KYC Web
We submit the form on the MCA V3 portal with the right government fee: nil if on time, ₹500 for a change filing, ₹5,000 if late or for reactivation.
Diarise your next 30 June
We send you the acknowledgement and remind you well before your next due date.
Timelines
Routine KYC
Once every three consecutive financial years, by 30 June of the year immediately following the third financial year.
DIN allotted on or before 31 March 2025
Your next DIR-3 KYC is due by 30 June 2028.
DIN allotted during FY 2025-26
Your DIR-3 KYC is due by 30 June 2029.
Change in mobile, email or address
Update MCA within 30 days of the change.
After an interim update
Your three-year due date does not move.
DIN already deactivated
File as soon as you can with the ₹5,000 fee. The DIN stays frozen until you do.
What happens if you miss the due date
MCA deactivates your DIN
Miss the 30 June due date and MCA marks the DIN “Deactivated due to non-filing of DIR-3 KYC” under Rule 12A.
You can no longer sign
Until the DIN is reactivated, you cannot act as a director or sign MCA filings, and any company filing that needs your DIN is blocked.
Pay ₹5,000 to reactivate
To reactivate, you file Form DIR-3 KYC Web with the ₹5,000 fee fixed by G.S.R. 300(E) dated 21 April 2026 under the Companies (Registration Offices and Fees) Rules, 2014.
Frequently asked questions
How often do directors have to file DIR-3 KYC now?
Once every three consecutive financial years, by 30 June of the year after the third financial year. This replaced the yearly 30 September deadline from 31 March 2026. The cycle is counted from the financial year in which your DIN was allotted, not from your last filing. Between cycles you file only if your mobile, email or address changes, so you will file far less often than before.
When is my next DIR-3 KYC due?
If your DIN was allotted on or before 31 March 2025, your next DIR-3 KYC is due by 30 June 2028. If it was allotted during FY 2025-26, it is due by 30 June 2029. Because the date follows the year of allotment, two directors on the same board can have different due dates. Send us your DIN and we will confirm yours.
I changed my mobile number. What should I do?
Update MCA within 30 days of the change by filing Form DIR-3 KYC Web. This interim filing must be signed with your own DSC and certified by a practising CA, CS or CMA, and it carries a government fee of ₹500. The same rule applies to a new email address or residential address, and none of these updates resets your three-year cycle. Tell us the day you switch. We will file well inside the 30 days.
My DIN is already deactivated. How do I get it back?
You get it back by filing Form DIR-3 KYC Web with the ₹5,000 fee. Until then, a DIN marked “Deactivated due to non-filing of DIR-3 KYC” cannot be used to act as a director or sign any MCA filing. We check the status on the MCA V3 portal, confirm your current details and file. Once the DIN is active, we diarise your next due date so this does not repeat.
Do designated partners of an LLP need to file DIR-3 KYC?
Yes, designated partners who hold a DIN file DIR-3 KYC on the same three-year cycle as company directors. The due date is 30 June after every third financial year, and the 30-day rule for a new mobile, email or address applies too. If you are a partner in an LLP and a director in a company, you still hold one DIN, so one KYC covers both roles.
I am a foreign national or NRI director. What do I need?
Foreign national directors must give their passport plus proof of their address abroad. Copies are notarised and apostilled, or consularised, in the country of residence, and translated into English where needed. Keep your personal mobile and email active while abroad, as the OTPs go there. We tell you what to attest before you visit the notary.
Can two directors share one mobile number or email ID?
No, each DIN holder needs a personal mobile number and email ID unique to them, verified by OTP. This often trips up family companies where a husband and wife, or a father and son, have used one office number for everything. We flag this before we start, so the filing is not held up.
Is there a government fee for DIR-3 KYC?
No government fee applies if you file Form DIR-3 KYC Web within the due date. Under G.S.R. 300(E) dated 21 April 2026, a filing for any change in particulars costs ₹500 per filing, and a filing after the due date, or to reactivate a DIN, costs ₹5,000. The cheapest route is simply to file on time, and we track the date for you.
I resigned as a director. Do I still need to file?
Yes, if you still hold a valid DIN, the KYC cycle keeps running after you resign. Resigning from a board ends your role in that company, but it does not cancel the DIN. Skip the filing and the DIN can be deactivated. You will feel it the day you want to join another board. We can check your DIN status and tell you whether a filing is due.
What it costs
Our fee plus the government fee that applies to your case, quoted before you commit. Tell us the situation and we will price it exactly.
Government fees for Form DIR-3 KYC Web, as revised by G.S.R. 300(E) dated 21 April 2026:
| Situation | Government fee |
|---|---|
| Filed within the due date | Nil |
| Filed again for any change in particulars | ₹500 per filing |
| Filed after the due date, or to reactivate a DIN | ₹5,000 |
Ready to begin?
Send us your DIN. We will check its status, tell you your next due date and file well before 30 June.
