Proprietorship Firm Registration

India has no single law that registers a sole proprietorship. You become a proprietor the day you start trading under your own PAN. What you do need is proof that the business exists: usually Udyam, GST and a Shop and Establishment record, plus a current account in the firm’s name.

What it is

A sole proprietorship is a business owned and run by one person. In law, the firm and the owner are the same person. The firm uses your PAN, and its profit is simply your income. There is no certificate of incorporation, because nothing new is incorporated.

In practice, a Faridabad tailor who starts stitching school uniforms is a proprietor from the first invoice. The paperwork only proves it.

So “proprietorship firm registration” really means collecting the registrations that give the business a name on paper. The usual set is Udyam MSME registration on the udyamregistration.gov.in portal, GST registration on the GST portal when your turnover or type of supply needs it, and a Shop and Establishment record with the Haryana Labour Department. Banks then accept any two such documents to open a current account in the firm’s name.

Open a current account in the firm’s name

Under paragraph 28 of the RBI KYC Master Direction, a bank asks for any two proofs of business for a sole proprietary firm, such as a Udyam certificate, a GST certificate or a Shop and Establishment certificate.

Charge GST and pass on input credit

Business buyers want a GSTIN on your invoice so they can take input tax credit. A factory buying canteen supplies from a local caterer will often insist on a GSTIN, even when the caterer is below the limit.

Get onto larger buyers’ vendor lists

Marketplaces and corporate vendor forms ask for a GSTIN, a Udyam number or both. Having them ready means you can accept the order the day it comes.

Timelines

Shops record within one month

Under the Haryana Shops and Commercial Establishments Act, 1958 as amended in 2025, the intimation or registration is due within one month of starting the business. No periodic renewal applies in Haryana.

GST within 30 days of crossing the limit

Section 25(1) of the CGST Act requires you to apply within 30 days of becoming liable. Approval takes 7 working days, or up to 30 days with physical verification.

Income tax return by 31 August

For FY 2025-26, a proprietor without a tax audit files by 31 August 2026. Tax-audit cases have until 21 November 2026, with the audit report due 21 October 2026.

What happens if you skip registration

Pay back GST with a penalty

Trading above the threshold without GST means paying the tax yourself with interest, plus a penalty under Section 122 of ₹10,000 or the tax evaded, whichever is higher.

Face Labour Department fines

Under the amended Haryana Shops Act, a first violation can cost ₹3,000 to ₹10,000, a second ₹5,000 to ₹25,000, and a continuing default ₹500 a day.

Lose easy access to a current account

Without two proofs of business, banks may refuse a current account. Business receipts then land in your savings account, and that mix draws questions from the tax department.

Frequently asked questions

Is there one certificate that registers a proprietorship firm?

No, there is no single proprietorship certificate in India, because no law creates a proprietorship as a separate entity. The firm is you, trading under your PAN. What you collect instead are registrations that prove the business exists, usually Udyam, GST and a Shops and Establishment record. Banks accept any two of these under the RBI KYC rules. With the right two in place, you can open a current account and start billing in the firm’s name.

Can I open a current account with only Udyam registration?

Usually a bank wants two proofs of business, not one. Paragraph 28 of the RBI KYC Master Direction lists documents such as Udyam, GST, Shops and Establishment, IEC and utility bills, and asks for any two. A bank may accept just one if it cannot get two, but it then does a contact-point visit. Pairing Udyam with a GST or Shops certificate is the faster route, and we can arrange both together.

Do I need GST registration for a proprietorship?

You need GST once your turnover crosses ₹40 lakh for goods or ₹20 lakh for services in Haryana. Selling goods to buyers in another state generally needs GST from the first sale, and some sellers on online marketplaces need it too. Below these limits you may still register voluntarily, which helps if your buyers want input tax credit. We check your trade and tell you whether it is needed now or later.

Is Udyam registration free?

Yes, Udyam registration carries no government fee. It is filed online on the udyamregistration.gov.in portal using the proprietor’s Aadhaar and PAN, and one enterprise gets one registration. A micro enterprise is one with investment up to ₹2.5 crore and turnover up to ₹10 crore under the limits from 1 April 2025. If anyone asks you to pay the government for Udyam, it is not the official portal.

Does a small shop in Faridabad need Shop and Establishment registration?

A small shop in Haryana with fewer than 20 workers files an online intimation, not a full registration. Under Section 13A of the Haryana Shops and Commercial Establishments Act, as amended in 2025, it is due within one month of starting, and you receive an ID number. Shops with 20 or more workers apply for a registration certificate under Section 13. Either way, the filing is online and there is no periodic renewal.

How is a proprietorship taxed?

Business profit is added to your personal income and taxed at your slab rates in your own return. Most proprietors file ITR-3, or ITR-4 if they opt for presumptive income and total income is up to ₹50 lakh. For FY 2025-26, the due date is 31 August 2026 without audit. A tax audit applies above ₹1 crore turnover, or ₹10 crore where cash receipts and payments are each within 5%.

Am I personally liable for the firm’s debts?

Yes, a proprietor’s liability is unlimited, because the law does not separate you from the business. If the firm cannot pay a supplier or a bank, your personal savings and property can be used to recover the dues. That is the main trade-off for the low paperwork. If the business grows or takes loans, converting to a company caps that risk, and we can plan the move when you are ready.

Can I later convert my proprietorship into a company?

Yes, but not by a direct conversion, because Section 366 of the Companies Act covers firms and LLPs, not proprietorships. You incorporate a private limited company and transfer the business to it for shares. Under Section 47(xiv) of the 1961 Act the transfer can be tax-free if you hold at least 50% of the voting power for five years. Clean books from the start make this step much simpler later.
