What it is

A virtual office is a business address you rent, with mail handling and often a meeting room by the hour, but no desk of your own. The address sits in a commercial building. The provider takes in your post and statutory notices. You work from home, or anywhere else.

The law does not ban this. Section 12(1) of the Companies Act, 2013 only asks that a company has, within 30 days of incorporation and at all times after, a registered office capable of receiving and acknowledging communications and notices. Rule 25 of the Companies (Incorporation) Rules, 2014 then decides what proof you file. A virtual office passes when the address can receive notices and the owner’s papers are in order.

Picture a Faridabad consulting firm with three people who work from home. A Delhi address suits their clients, but in practice the firm must check one thing first: the ROC is decided by the registered office’s State, not by where the team sits. A Delhi address means a Delhi ROC, and a Haryana address means the Haryana ROC at Chandigarh, which has existed since 16 February 2026.

Timelines

Within 30 days of incorporation

Section 12(1) requires a registered office within 30 days of incorporation, with verification filed through the prescribed form.

Within 30 days of a change

A change of registered office is reported in Form INC-22 within 30 days of the change under Section 12(4).

Before the lease ends

If the agreement lapses, you have no valid proof. Renew or move before the end date, not after.

What happens if the address fails verification

Penalty under Section 12(8)

The company and every officer in default can be fined ₹1,000 per day, up to ₹1 lakh.

Registrar’s inspection

Under Section 12(9), if the Registrar suspects the company is not carrying on business, the Registrar can verify the office physically. Where the office cannot receive communications, removal proceedings under Chapter XVIII can start, and the company gets 30 days to respond.

GST delay or rejection

The GST officer can ask for more documents or inspect the premises. A mismatch between MCA and GSTN addresses invites notices.

Frequently asked questions

Can I use a virtual office as my registered office in India?

Yes, if the address can receive and acknowledge notices. Section 12(1) of the Companies Act, 2013 sets that test and Rule 25 lists the proof. You need the owner’s authorisation, a utility bill under two months old and a valid agreement. A provider that supplies these makes the filing routine. We check each paper before you file.

Can I get GST registration on a virtual office address?

Usually yes, but expect closer scrutiny. The GST officer may ask for the owner’s consent, the lease and a recent utility bill, and may visit the premises. Keep the address identical to your MCA records. We prepare the REG-01 file and brief the provider so that a visit does not delay approval.

How old can the utility bill be?

Not older than two months. Rule 25 asks for evidence of a utility service such as electricity, gas or telephone within that window. A bill from the previous quarter will be rejected. Ask the provider for the latest bill before you start the filing, so the date does not expire while you wait.

Does a virtual office mean I do not need a physical presence at all?

The address must still receive notices and be open to verification. You need not sit there, but the provider must accept statutory post and let an inspecting officer in during working hours. We confirm this in the agreement. If your provider refuses access, choose another before you file.

Which ROC applies to my company?

The ROC depends on the State of your registered office. A Haryana address falls under the Haryana ROC at Chandigarh, which started on 16 February 2026. A Delhi address falls under a Delhi ROC. Pick the State knowing this, because every later filing goes to that Registrar. We will explain the choice before you commit.

How soon must I file INC-22 after moving?

Within 30 days of the change. Section 12(4) of the Companies Act, 2013 sets this period for the notice of change of registered office. If the move crosses ROC boundaries in the same State, the Regional Director’s confirmation is needed first. We handle both and keep the dates tight.

What is the penalty if my registered office is not valid?

The company and every officer in default can face ₹1,000 per day, capped at ₹1 lakh under Section 12(8). Separately, a Registrar who finds the office cannot receive notices can start removal action under Chapter XVIII after giving 30 days to respond. Fixing the address early avoids both.

Can I open a current account with a virtual office address?

Can an LLP or a proprietorship also use a virtual office?
