LLP Name Change, Registered Office Change and Business Change
An LLP can change its name, move its registered office or change its line of business, but each change has its own MCA form. A new name needs RUN-LLP approval and then Form 5 within 30 days; a new office address needs Form 15 within 30 days. What it is
This service covers three common changes in a limited liability partnership: a new name, a new registered office, and a new or wider business activity. Each is agreed by the partners, then reported to the Registrar of Companies (ROC) on the MCA V3 portal.
The rules sit in the Limited Liability Partnership Act, 2008 and the LLP Rules, 2009. Rule 18 covers name reservation through RUN-LLP. Rule 20 and Form 5 cover an LLP name change. Section 13 with Rule 17 and Form 15 cover the registered office. Because each of these changes also alters the LLP agreement, a supplementary agreement goes in Form 3. Who it applies to
You want a new name
Say a Faridabad LLP started in sheet-metal fabrication and now mostly installs rooftop solar. The old name no longer fits. We get the new name approved first.
You are moving office
Moving across town needs one form. Moving to another state also needs a newspaper notice and secured creditors’ consent.
You are changing what you do
An LLP has no memorandum of association. Its business is described in the LLP agreement, so a change of business activity is made through a supplementary agreement filed in Form 3.
Why it matters
Nothing counts until it is filed
Under Section 13(3), a change of registered office takes effect only when the notice is filed with the Registrar. A new name takes effect when the ROC issues a fresh certificate of incorporation.
Banks and GST follow the MCA record
Banks and the GST officer check the LLP’s master data on the MCA portal. Until it changes, updates elsewhere stall.
Penalties run per day
A default under Section 13 costs the LLP and every partner ₹500 per day, up to ₹50,000.

Timelines
Use the name within three months
RUN-LLP approval holds the name for three months from intimation, under Rule 18(6). Form 5 has to be in before then.
File the change within 30 days
Form 5 under Rule 20(2) for the name. Form 15 under Rule 17(2) for the registered office.
Update the agreement as well
The supplementary LLP agreement goes in Form 3 within 30 days of the change, under Rule 21.

What happens if you miss it
Late forms cost multiples
Since 1 April 2022, the late fee on LLP forms is a multiple of the normal fee. It starts at 1× up to 15 days and rises to 25× beyond 360 days for a small LLP and 50× for others.
Office defaults are penalised daily
Under Section 13, the LLP and every partner face ₹500 for each day of default, up to ₹50,000.
The approved name lapses
Here is the catch: the three-month reservation does not pause while partners argue over the logo. Miss it and you start again with a fresh RUN-LLP and a fresh fee.
Frequently asked questions
How do I change the name of my LLP?
An LLP name change takes two filings: RUN-LLP to get the new name approved, then Form 5 within 30 days to record the change. Before that, the partners must consent as their LLP agreement requires. Once Form 5 is approved, the ROC issues a fresh certificate of incorporation in the new name. The LLPIN and PAN stay the same.
What is the fee for RUN-LLP?
The RUN-LLP fee is ₹200 per application, and you can propose up to two names. The fee is not refunded if both names are rejected. If the ROC asks for resubmission, you have 15 days to correct the form at no extra cost. A name search and a trade mark search before filing usually save a second application.
How long is an approved LLP name valid?
An approved name is reserved for three months from the date the ROC intimates approval, under Rule 18(6) of the LLP Rules. Form 5 must be filed within that window. If it lapses, the name becomes available to others and you need a fresh RUN-LLP. We keep the partners’ consent ready before approval, so filing within the window is easy.
Can the government force an LLP to change its name?
Yes. Under Section 17 of the LLP Act, the Central Government can direct an LLP to change a name that is identical or too similar to an existing LLP, company or trade mark. The LLP must comply within three months of the direction. A trade mark owner must apply within three years of the LLP’s registration or name change, in Form 23. A proper search first keeps you clear.
Which form is used to change the registered office of an LLP?
Form 15 is used to change an LLP’s registered office, and it is due within 30 days of the change under Rule 17(2). Attach address proof, the owner’s NOC and the partners’ consent. A move within the same city usually needs nothing more, apart from Form 3 if the agreement names the address.
What extra steps apply when an LLP moves to another state?
An inter-state move needs a newspaper notice, published at least 21 days before Form 15 is filed, and the consent of secured creditors. Form 15 is then filed with both the old and new ROC. Take a Delhi LLP moving to Faridabad: since 16 February 2026 Haryana has its own ROC at Chandigarh, so the records shift there. Build the 21-day notice period into your moving date.
How does an LLP change its business activity?
An LLP changes its business activity by amending the LLP agreement and filing the supplementary agreement in Form 3 within 30 days. Unlike a company, there is no object clause to amend. If the new activity needs a licence, such as FSSAI or a drug licence, apply for that separately; we can line it up in the same month.
Do we need to update GST after an LLP name change?
Yes, a change in legal name must be reported through a GST registration amendment in Form GST REG-14 within 15 days of the change, and the officer approves it within 15 working days. Bank accounts, PAN records, Udyam, the import-export code and other licences also need updating. We hand you a checklist with the new certificate.
