What is SPICe+ Form for Company Incorporation? Meaning, Uses and Steps

SPICe+ (INC-32) is the Ministry of Corporate Affairs’ single web form for incorporating a company. One application covers name reservation, incorporation, DIN, PAN, TAN, EPFO, ESIC, GSTIN and bank account opening, instead of filing each separately.

Why it matters for registrations

Before SPICe+, founders went to several departments one after another. Now the form pulls these services together, so a company can be incorporated and get its tax and labour registrations through one filing. It is the route used for private limited company registration, and also for OPCs and Section 8 companies, among others.

What the form contains

  • Part A: reserving the company name
  • Part B: the rest of the services, including incorporation, DIN, PAN and TAN
  • Linked forms: e-MOA (INC-33), e-AOA (INC-34), AGILE-PRO for EPFO, ESIC and the bank account, and INC-9 where applicable

Check the name first with company name availability, because a rejected name delays everything.

How to approach it

Keep ready the directors’ and subscribers’ ID and address proofs, a registered office address with proof, and digital signatures. The documents that go with the form are the MOA and AOA, and your directors can get their DIN through the same filing. Skipping the paperwork entirely is possible if you buy a readymade company, though most new founders incorporate fresh.

Once the Certificate of Incorporation comes, there are still filings to do. See post-incorporation compliance for what follows.

Common mistakes

  • Choosing an object clause that is too narrow, then needing an amendment soon after.
  • Mismatched names or dates of birth between the form and ID documents.
  • Address proof that is out of date or not in the right name.
  • Ignoring the bank account step in AGILE-PRO, which is part of the process.
