What is a Registered Office of a Company? Meaning, Rules and Documents
A registered office is the official address of a company in India. The Registrar of Companies (ROC), the tax departments and the courts send notices and letters there. Every company must have one, and the address is recorded on the MCA master data of the company.
Why it matters for registrations
The registered office decides which ROC has jurisdiction over your company, and the state where it sits usually decides your state-level compliances too. When you go for private limited company registration, the address is part of the incorporation application itself, so you need it sorted before you file, not after.
Where and when it is required
- Company incorporation forms filed with the MCA, including one person company registration and Section 8 companies.
- GST and other registrations, where the same address is usually shown as the principal place of business.
- Bank account opening, letterheads, invoices, the website and the name board outside the office.
- Any notice from the ROC. A notice that comes back undelivered can lead to bigger trouble later.
Key points to remember
Under Section 12 of the Companies Act, 2013, a company must have a registered office from the 15th day after incorporation. Within 30 days of incorporation it must file Form INC-22 to verify the address. Until then, the incorporation address works as the office.
The office does not need to be a big space. A small room or a part of a shop can do, as long as you have the right to use it and can show proof. Typical papers are the sale deed or property tax receipt if you own it, or a rental agreement with an NOC from the owner if you rent. You also need a recent utility bill, such as electricity, water or a landline bill, in the owner’s name. Keep it not older than two months.

- Using a home address without the owner’s NOC, when the house belongs to a parent or relative.
- Submitting an old utility bill or one with a different address.
