NOC from Property Owner for Company Registration: Format and Use

An NOC from the property owner is a signed letter saying the owner has no objection to the premises being used as the registered office of a company. It is needed whenever the company does not own the place, whether it is rented or a family home.

Why it matters for registrations

The MCA wants to see that the owner knows about, and agrees to, the business use. Without the letter, an application for private limited company registration or LLP registration can be stuck on queries. It is a one-page paper that saves days.

Where it is required

  • Incorporation when the office is rented or borrowed.
  • Registered office verification through INC-22.
  • Change of address, as part of change of registered office.
  • GST and Udyam registration in some cases, when the business place is not yours.

What the letter should say

Write it on plain paper or letterhead. Mention the owner’s name and address, the full property address, the company name (or proposed name), and a line that the owner permits the premises to be used as its registered office. Add the date, signature, and a copy of the owner’s ID and an ownership proof such as a property tax receipt or electricity bill.

When the owner is a parent or relative living in the same house, the letter works the same way. If the property has more than one owner, one owner signing is commonly enough, but check that no co-owner objects. When the space is rented, pair the NOC with a rental agreement.

  • Leaving out the full property address or the company name.
