What is a Board Resolution? Meaning, Format and When It Is Needed

A board resolution is a formal decision passed by a company’s directors at a board meeting, recorded in writing. It shows that the board approved a specific action, such as opening a bank account, appointing a director or taking a loan. Banks, the Registrar and auditors often ask for a certified copy.

Why it matters

A company can only act through people, and a resolution proves those people had authority. When a change in directors is filed, for instance, the board’s decision backs it up. Without one, a bank or the Registrar can reject your paperwork.

Where a board resolution is usually needed

  • Appointing or removing directors, officers or auditors.
  • Opening or operating a bank account and naming signatories.
  • Approving financial statements and the board’s report.
  • Issuing or allotting shares and approving share transfers.
  • Borrowing, giving security, or entering major contracts.
  • Shifting the registered office within the same city or town.
  • Authorising someone to sign forms on the company’s behalf.
