What is MCA and ROC? Meaning and Role in Company Compliance

MCA is the Ministry of Corporate Affairs, the central government ministry that administers company law in India. ROC is the Registrar of Companies, an MCA office that registers companies and receives their filings. In short, the MCA makes and oversees the rules, and the ROC handles your company’s records.

Why they matter for your business

Every company starts with them. A private limited company registration is filed on the MCA portal and approved by the ROC, which then issues the certificate of incorporation. LLPs go through the same ministry, so an LLP registration also ends at the Registrar.

What each one does

  • MCA: frames policy, runs the MCA21 portal, and administers the Companies Act, 2013 and the LLP Act.
  • ROC: incorporates companies, holds the public file of each one, and takes filings such as financial statements and director changes.
  • Regional offices: there are several ROCs across India. Your company falls under the ROC of the state where its registered office sits.

When you deal with the ROC

  • At incorporation, and when you change the name, objects or registered office.
