Company Registration in Ballabgarh
Most Ballabgarh businesses begin as a proprietorship in the owner’s own name. When a buyer, a bank or the next generation needs something sturdier, a private limited company is the usual next step. We file it on the MCA V3 portal, and the company is then registered with the ROC (Haryana) at Chandigarh. Every national step is set out on our private limited company registration page.
What it is
A company is a separate legal person under the Companies Act, 2013. It owns the machines and carries the debts, so the family’s own property stays apart from the business. For a Ballabgarh workshop or trading firm, the common choice is a private limited company, which needs a minimum of two directors and two members.
Incorporation happens through a single web form, SPICe+ (INC-32), carrying the e-MoA, e-AoA and AGILE-PRO-S. Since 16 February 2026, Haryana companies, Ballabgarh’s included, are registered with the ROC (Haryana) at Chandigarh rather than Delhi.
Who it applies to
Units around Sector 58 and 59
A press shop or fabrication unit in the HSIIDC Industrial Estate, Sector 59, supplying bigger manufacturers. Buyers increasingly want a company on the vendor form.
Family shops in the old bazaar
A cloth, hardware or sweets business in Main Bazaar that has passed from father to sons. A company gives each family member a written shareholding instead of an unspoken understanding.
Proprietors ready to grow
Picture a hardware trader near Sohna Chowk, twenty years in his own name, whose son now wants to bring in a partner. That is a proprietorship-to-company move, covered below.
Turning a Ballabgarh proprietorship into a company
There is no direct conversion. In law a proprietorship is simply you, so we form a new company and it takes over the business: stock, machines, debtors, creditors, staff. Our proprietorship to private limited guide covers each step.
Here is the catch. The transfer can attract capital gains tax unless Section 47(xiv) of the Income-tax Act, 1961 is met. All assets and liabilities of the business must pass to the company, you must hold at least 50% of the voting power for five years, and you can take nothing in return except shares. The same three conditions continue in Section 70 of the Income-tax Act, 2025.
After the takeover the company takes a fresh GSTIN, and unused input tax credit moves across through Form GST ITC-02.

How it works
Agree the shareholding first
Families usually need one sitting to settle who holds what and who joins the board.
Reserve the company name
We check the name against company and trademark registers, then file SPICe+ Part A. A name sent back for changes can be resubmitted within 15 days under Rule 9.
File SPICe+ Part B
The e-MoA and e-AoA are drafted around your business, office proofs go in, and AGILE-PRO-S picks up GST, EPFO and ESIC if you want them.
Move the business across
Once the certificate with CIN, PAN and TAN arrives, we prepare the business transfer papers, help open the bank account and file INC-20A.
Timelines
Fix a returned name
If the MCA returns the name for changes, Rule 9 of the Incorporation Rules gives you 15 days to fix it.
Prove the capital is paid
INC-20A within 180 days of incorporation. Until it is filed, Section 10A bars business and borrowing, and default costs the company ₹50,000.
Close the old GSTIN
Once the business has moved, the proprietor applies to cancel in REG-16; the final return, GSTR-10, is due within three months of cancellation.
Frequently asked questions
Which Registrar of Companies will my Ballabgarh company fall under?
It falls under the ROC (Haryana), which sits in Chandigarh and has covered all Haryana districts since 16 February 2026. Until then, Ballabgarh companies were looked after by the Delhi ROC. All filing is online on MCA V3, so there is no trip to Chandigarh. INC-20A, the annual returns and any change forms are processed by the Haryana ROC.
Can our old family house in Ballabgarh be the registered office?
Yes. A house works as the registered office provided the papers prove it: an electricity bill dated within two months, plus the owner’s NOC backed by proof of ownership. Older houses in village abadi areas sometimes have no registered sale deed in anyone’s name, so we check what papers exist and build the proof chain well before we file. Remember that Section 12(9) lets the ROC send someone to check the address in person.
How do I move my proprietorship into a company without capital gains tax?
You meet the three conditions of Section 47(xiv): every business asset and liability moves to the company, you keep at least 50% of the voting power for five years, and you receive only shares. Done this way, the transfer is not taxed as capital gains. We prepare the transfer papers and track the five-year condition so it is not broken by accident.
Can family members hold unequal shares?
Yes, shares can be split in any proportion the family agrees, and voting follows shareholding. A father might keep 60% while two sons hold 20% each. The legal minimum is two members and two directors, one of whom must have stayed in India for at least 182 days in the financial year. In practice, a short shareholders’ agreement on exits and transfers saves years of argument.
Will my GSTIN and Udyam move to the new company?
No, the company has its own PAN, so it needs a fresh GST registration and a fresh Udyam registration. Under Section 22(3) of the CGST Act, the successor must register from the date of transfer. Unused input tax credit moves across through ITC-02. We line up the dates so invoices never go out without a valid GSTIN.
Will I have to come in person anywhere?
No. Every step, from DSC to final certificate, can be done from your phone and laptop. Many Ballabgarh owners still sit with us once to agree names, capital and shareholding. Our office is at B-363-365, Second Floor, BK Chowk, Faridabad, Haryana 121001, a short drive from Ballabgarh, and the doors are open 24 hours, which suits owners who only get free after the shutter comes down.
What are the government fees?
Reserving the name in SPICe+ Part A costs ₹1,000. If authorised capital stays at ₹15 lakh or below, the MCA charges no filing fee for SPICe+ itself. You still pay Haryana stamp duty on the e-MoA and e-AoA, and for the DSCs. We give you the full figure, government side and ours, before you commit.
How many days before the company exists?
Plan on roughly 10 to 20 working days from complete papers, since SPICe+ is processed centrally by the MCA. DSCs take a day or two, and most delays come from address proofs that do not match. Moving an existing proprietorship’s business into the company takes a little longer, but we plan both steps together.
What it costs
Our fee plus the government fee that applies to your case, quoted before you commit. Tell us the situation and we will price it exactly.
Government side, in short: ₹1,000 for the name, no SPICe+ fee up to ₹15 lakh authorised capital, plus Haryana stamp duty and DSCs.
