Company Registration in Delhi

A company with its registered office in Delhi is incorporated through SPICe+ on the MCA V3 portal, and since 16 February 2026 the Delhi district of that office decides which of the city’s two Registrars of Companies handles it. We prepare and file everything online from our Faridabad office, about 30 km from central Delhi. Our main private limited company registration page explains the full process; this page covers what is specific to Delhi.

What it is

Company registration turns your business into a separate legal person under the Companies Act, 2013. For most Delhi businesses that means a private limited company: limited liability, with at least two directors and two shareholders.

You apply through one web form, SPICe+ (Form INC-32), on the MCA V3 portal. Part A reserves the name. Part B carries the e-MoA (INC-33), the e-AoA (INC-34) and AGILE-PRO-S, and the certificate of incorporation arrives with the company’s PAN and TAN. Each director signs with a Class 3 digital signature, which we can arrange through our digital signature certificate service. Field-by-field detail is on our private limited company registration page.

Which ROC handles a Delhi company

From 16 February 2026 the Ministry of Corporate Affairs split the old combined office into two Registrars for the National Capital Territory, each covering a set of revenue districts. Your SPICe+ goes to the ROC for the district where your registered office sits.

RegistrarDelhi districts covered
ROC (NCT of Delhi-I), at South DelhiSouth, South West, New Delhi, South East, East
ROC (NCT of Delhi-II), at Central DelhiCentral, West, North, North West, North East, Shahdara

In practice, an office in Okhla, Nehru Place or Connaught Place usually goes to Delhi-I, while a shop in Karol Bagh or Chandni Chowk usually goes to Delhi-II. Existing companies were reallocated automatically. We confirm the district from your address proof before filing.

Here is the catch: the line matters for later moves too. Shifting the registered office from Karol Bagh to Okhla crosses from Delhi-II to Delhi-I, so it is treated as a change of ROC within the state. That needs a special resolution and approval from the Regional Director (Northern Region-I) at New Delhi in Form INC-23, not just an INC-22. Our registered office change service handles that route if you ever need it.

Who it applies to

Family trading businesses

Think of a Sadar Bazar wholesaler run as a proprietorship since the 1990s, with a son and daughter now joining. Shares give each a defined stake.

Startups and tech teams

Founders in Okhla, Nehru Place or a South Delhi coworking centre who plan to raise funds or issue ESOPs.

Exporters and small manufacturers

Units in Okhla Industrial Area whose buyers onboard only companies with their own CIN and GSTIN.

Why it matters

Your house stays out of it

Shareholders risk only what they put in. A bad debt stops at the company, not at the family house.

Smooth handover between generations

Shares can be gifted or transferred without closing the business, which a proprietorship cannot do.

Credibility with buyers and banks

Banks and corporate buyers deal more readily with a company that has audited accounts.

Documents required

From each director and shareholder

  • PAN card
  • Aadhaar, passport or voter ID
  • Recent bank statement or electricity bill as address proof
  • Photograph, email ID and mobile number

For the registered office

  • Rent agreement in the company’s proposed name, usually on Delhi e-stamp paper
  • Rent receipt not older than one month
  • NOC from the owner with proof of ownership
  • Electricity or other utility bill not older than two months

For the application

  • Two or three name options and the main business activity
  • Planned authorised and paid-up capital
  • Class 3 digital signatures for all directors

How it works

1

Settle the name and the structure

We check names against MCA and trademark records and file SPICe+ Part A. Capital and shareholding are settled here too.

2

Check the address papers and district

We read the rent agreement, NOC and utility bill against Rule 25(2) and confirm the district, so the right ROC receives the file.

3

File SPICe+ Part B

The form, e-MoA, e-AoA and AGILE-PRO-S go to ROC Delhi-I or Delhi-II. GST, EPFO and ESIC registration can be opted for in the same set.

4

Complete the first-month tasks

Bank account, first auditor within 30 days, and INC-20A planned within 180 days.

Timelines

Name reservation

An approved name stays reserved for 20 days. If the ROC points out a defect, the resubmission is due within 15 days.

First auditor

The Board appoints the first auditor within 30 days of incorporation under Section 139(6).

Commencement of business

INC-20A is filed within 180 days of incorporation, once every subscriber has paid for their shares (Section 10A).

What happens if you miss the post-incorporation steps

INC-20A penalty

Under Section 10A(2), ₹50,000 on the company and ₹1,000 a day on each officer in default, up to ₹1 lakh.

Removal from the register

If INC-20A is not filed within 180 days, the ROC can start striking off the company under Section 248(1)(d).

Registered office lapses

Not maintaining the registered office properly costs ₹1,000 a day, up to ₹1 lakh, for the company and every officer in default under Section 12(8).

Frequently asked questions

Which ROC will register my company in Delhi?

It depends on the district of your registered office. Since 16 February 2026, ROC (NCT of Delhi-I) covers the South, South West, New Delhi, South East and East districts, and ROC (NCT of Delhi-II) covers Central, West, North, North West, North East and Shahdara. Filing is online on the MCA V3 portal either way.

Can my shop in Chandni Chowk be the registered office?

Yes, if you can show the papers Rule 25(2) asks for. For an owned shop, that means ownership proof and a utility bill not older than two months. Many old walled-city properties stand in a parent’s or grandparent’s name, so the recorded owner signs the NOC. The office must be able to receive notices, and the ROC can verify it physically under Section 12(9).

We plan to move from Karol Bagh to Okhla later. Is that a problem?

It is possible. It just takes longer than a simple address change now. Karol Bagh normally sits under ROC Delhi-II and Okhla under ROC Delhi-I, so the move is a change of ROC within Delhi. That needs a special resolution and Regional Director approval in Form INC-23, then INC-22. If a move is likely, choose the address with that in mind.

Do I have to visit your office in Faridabad?

No, the entire process works online. Directors sign with digital signatures, documents come to us by email or WhatsApp, and we file on the MCA V3 portal. If you would rather meet, our only office is at B-363-365, Second Floor, BK Chowk, Faridabad, Haryana 121001, about 30 km from central Delhi. The line +91 93117 95484 is answered 24 hours; call ahead and we will be ready.

How many people do I need to start a private limited company?

You need at least two directors and two shareholders, and the same two people can hold both roles. At least one director must have stayed in India for 182 days or more in the financial year under Section 149(3). There is no minimum paid-up capital, so you can start small and add more when the business grows.

Will the company get a GSTIN along with incorporation?

Yes, if you tick GST in AGILE-PRO-S, which is filed with SPICe+ Part B. PAN and TAN are allotted with the certificate of incorporation in every case. A Delhi GSTIN starts with 07, the state code for Delhi. If your business needs registration later, our GST registration service covers it separately, and we tell you whether you need it from the first day.

Should a Delhi trader choose a company or an LLP?

Choose a company if you expect outside investors, ESOPs or a sale of shares later. An LLP has lighter annual compliance and suits professionals and partners who will keep the business among themselves. Both give limited liability, so the choice turns on how you plan to grow. We compare the yearly compliance cost of both before you decide.

What is INC-20A and why does it matter?

INC-20A is the declaration that every subscriber has paid for their shares, filed within 180 days of incorporation under Section 10A. A practising CA, CS or cost accountant verifies it, and the bank statement showing the share money is attached. Missing it means a ₹50,000 penalty on the company and a strike-off risk. We diarise it on day one.
