Company Registration in Faridabad
Company registration in Faridabad is done online on the MCA V3 portal through SPICe+, and since 16 February 2026 every Haryana company sits with the new ROC (Haryana) at Chandigarh. Our team at BK Chowk files it end to end; for the full process, see our private limited company registration page.
What it is
Registering a company means incorporating it under the Companies Act, 2013, so the business becomes a separate legal person with its own PAN, bank account and liability. Most Faridabad founders pick a private limited company: two directors, two shareholders and no minimum capital.
The filing is one web form, SPICe+ (Form INC-32), with the e-MoA (INC-33), e-AoA (INC-34) and AGILE-PRO-S attached. Part A reserves the name; Part B incorporates the company and gets PAN and TAN allotted at the same time. Once incorporated, your company’s Registrar is the ROC (Haryana) at Chandigarh, which took over all Haryana districts from the Delhi ROC on 16 February 2026.
Who it applies to
Manufacturers in the industrial sectors
Think of a Sector 25 fabrication unit run as a proprietorship for years, now asked by an OEM to register as a vendor company. Auto-component and engineering units in Sector 24, 58–59 and IMT face the same push.
Traders and family businesses
A hardware trader in NIT whose son wants to join. A company lets the son take shares and a board seat, while the father keeps control.
Startups and service firms
IT, logistics and consulting founders in Greater Faridabad or Sector 15–21 who need a company to raise funds or seek Startup India recognition.
Why it matters
Keep your house out of business debts
Shareholders risk only the capital they put in. A proprietor’s house and savings answer for business debts. A company’s owners do not, as long as directors act properly.
Win vendor codes and tenders
Large OEMs, PSUs and export buyers in the NCR often register vendors only as companies or LLPs. A CIN on your letterhead settles it.
Bring in partners without starting over
Issue shares to a partner, investor or family member, and transfer them later, without closing and re-forming the business.

How it works
Check names and pick the structure
We search MCA and trademark records for your names and confirm whether a private limited company, OPC or LLP fits.
Get DSCs and reserve the name
Directors get digital signature certificates, and we file SPICe+ Part A. If the name is sent back, we have 15 days to resubmit under Rule 9.
File SPICe+ Part B with MoA and AoA
We draft the e-MoA and e-AoA, attach the Faridabad office proofs, add AGILE-PRO-S for GST, EPFO and ESIC where needed, and file.
Receive the certificate and set up
The certificate of incorporation arrives with CIN, PAN and TAN. We then help with the bank account and plan the first-year filings.
Using a Faridabad address as your registered office
The registered office must be able to receive letters and notices. The ROC can send someone to check it physically under Section 12(9). Many Faridabad companies start from a family house in a sector or a rented shop in NIT. Both work. The papers just have to line up.
Here is the catch: the name on the electricity bill and the name of the person signing the no-objection letter must connect. If the bill is in a late parent’s name or the shop is on a lease from HSVP or HSIIDC, tell us early. We sort the chain of documents before filing, not after the ROC asks.
You can drop originals at our office, B-363-365, Second Floor, BK Chowk, Faridabad 121001. It is open 24 hours, so a factory owner can come after the shift ends. Everything else, from DSC verification to signing forms, happens online.
Timelines
Name resubmission
15 days to fix and resubmit a name the MCA sends back, under Rule 9 of the Incorporation Rules.
Commencement of business
Form INC-20A within 180 days of incorporation, once shareholders have paid their subscription money into the company’s bank account.

The board appoints the first auditor within 30 days of incorporation, under Section 139(6).
What happens if you skip the first-year filings
No INC-20A, no business

Late fees multiply
Event-based forms filed late cost 2× the normal fee up to 30 days, rising to 12× beyond 180 days. Annual forms AOC-4 and MGT-7A carry ₹100 a day.
Strike-off risk
The ROC can remove a company that never filed INC-20A, or that has no working registered office, under Section 248.
Frequently asked questions
Which ROC handles a company registered in Faridabad?
The ROC (Haryana) at Chandigarh handles every Haryana company, including those in Faridabad, since 16 February 2026. Before that date Haryana companies sat with the ROC at Delhi. New incorporations are processed online on the MCA V3 portal, so nobody has to travel to Chandigarh. Your later filings, from INC-20A to the annual returns, go to the Haryana ROC.
Can I use my home in Faridabad as the registered office?
Yes, a residential address can be the registered office if you can prove it. You need a utility bill not older than two months and, if the house is in a relative’s name, their no-objection letter with ownership proof. If you rent, attach the rent agreement and a rent receipt not older than one month. We check that the names connect before we file.
How much capital do I need to start a private limited company?
There is no minimum paid-up capital under the Companies Act, 2013, so you can start small and add capital later. Keeping authorised capital at ₹15 lakh or less means no MCA filing fee on SPICe+ itself; stamp duty and DSCs still cost money. Shareholders must actually pay what they subscribe, because the bank proof goes with Form INC-20A.
Do I need to visit your office to register a company?
No, the whole incorporation can run online, and most of our clients outside Faridabad never visit. Local founders often prefer to sit with us once to fix the name, capital and shareholding, and to drop off original documents. Our BK Chowk office is open 24 hours, so you can come at a time that suits your shop or factory.
How long does company registration take in Faridabad?
It usually takes 10 to 20 working days once documents are ready; MCA processes SPICe+ centrally, so your location makes no difference. DSCs take a day or two. Name approval and the final certificate depend on MCA queues. Most delays come from mismatched address proofs, which we check before filing.
Will my company get GST registration at the same time?
Yes, if you ask for it in AGILE-PRO-S, which is filed along with SPICe+ Part B. The GST application then goes to the Haryana GST system for your Faridabad ward. You may still be called for Aadhaar biometric verification at the GST Suvidha Kendra in Sector 12. If you do not need GST yet, apply later.
What is INC-20A and when is it due?
INC-20A is the declaration that shareholders have paid for their shares, and it is due within 180 days of incorporation under Section 10A. A practising CA, CS or cost accountant certifies it, with the company’s bank statement attached. Until it is filed, the company cannot start business or borrow, so we usually file it within the first month or two.
Can one person register a company in Faridabad?
Yes, one person can form a One Person Company with a nominee. A private limited company needs at least two directors and two shareholders, and one director must be resident in India. If you are alone now but expect a partner later, an OPC can be converted to a private limited company at any time.
What it costs
Our fee plus the government fee that applies to your case, quoted before you commit. Tell us the situation and we will price it exactly.
Government side: name reservation through SPICe+ Part A or RUN costs ₹1,000. The SPICe+ filing fee is nil where authorised capital is ₹15 lakh or less. Haryana stamp duty on the e-MoA and e-AoA, and the DSCs, are extra.
Ready to begin?
Send us two name ideas and your Faridabad address proof, and we will tell you within a day whether they are ready to file.
