Company Registration in Noida
A company with a registered address in Noida is now incorporated by the new Registrar of Companies at Noida, which took over Gautam Buddh Nagar from the Kanpur ROC on 16 February 2026. We file SPICe+ on the MCA V3 portal for you, online, from our Faridabad office. For the step-by-step process, see our private limited company registration page.
What it is
Incorporation makes your business a separate legal person under the Companies Act, 2013. For most Noida founders that means a private limited company with at least two directors and two shareholders.
You apply through one web form, SPICe+ (INC-32), on the MCA V3 portal. Part A approves the name; Part B carries the e-MoA (INC-33), e-AoA (INC-34) and AGILE-PRO-S. The certificate of incorporation comes with PAN and TAN. Our guide to registering a private limited company covers each field; this page covers what is specific to Noida.
Which ROC handles a Noida company
Until 2026 every Uttar Pradesh company dealt with the ROC at Kanpur. From 16 February 2026 a new ROC at Noida covers 17 western districts, including Gautam Buddh Nagar and Ghaziabad.
| Item | Position for a Noida company |
|---|---|
| Registrar of Companies | ROC Noida (Uttar Pradesh-II) |
| Districts covered | Agra, Aligarh, Baghpat, Bulandshahr, Etah, Firozabad, Gautam Buddh Nagar, Ghaziabad, Hapur, Hathras, Kasganj, Mainpuri, Mathura, Meerut, Muzaffarnagar, Saharanpur, Shamli |
| Regional Director | RD (Northern Region-I), New Delhi, which covers Delhi and Uttar Pradesh |
Filing stays online. What changed is the office that reads your forms and raises queries.
Who it applies to
Electronics and component makers
Units in Noida Phase II, the Noida SEZ, Greater Noida and along the Yamuna Expressway supplying phone, appliance or EV assemblers.
IT and product startups
Teams in Sector 62, 63 and 132 that plan to raise seed money or grant ESOPs, which only a company can do.
Traders bringing in a partner
Say a Sector 18 electronics trader wants a cousin in as co-owner and a bank limit. A company gives both a clear share.
Why it matters
Protects personal assets
Shareholders risk only their share money. The company’s creditors cannot come after the family flat.
Qualifies you as a vendor
Electronics buyers often onboard only companies whose CIN, PAN and GSTIN match the invoice.
Makes funding possible
Angels and funds invest by subscribing to shares, which a proprietorship or partnership cannot issue.
Registered office papers in Noida
Section 12(1) needs a registered office that can receive and acknowledge notices. Rule 25(2) of the Companies (Incorporation) Rules, 2014 lists the proof: a notarised rent or lease agreement in the company’s name with a rent receipt not older than one month, the owner’s authorisation with proof of ownership, and a utility bill not older than two months.
Here is the Noida twist: much of the city’s land is held on lease from the Noida Authority, so the owner’s proof is often a registered lease or sub-lease deed rather than a sale deed. That is fine if the name on the deed matches the person signing the NOC. Where a builder flat’s sub-lease is not yet registered, check what the owner actually holds before fixing the address.
The ROC can physically verify the office under Section 12(9), so the name board and post handling must be real.

₹50,000 on the company, and ₹1,000 a day on each officer in default up to ₹1 lakh, under Section 10A(2).

Frequently asked questions
Which ROC registers a company in Noida?
The Registrar of Companies at Noida registers it. From 16 February 2026 MCA split the old Kanpur ROC, and the new ROC at Noida covers 17 western Uttar Pradesh districts, including Gautam Buddh Nagar and Ghaziabad. Companies elsewhere in the state stay with Kanpur. You still file everything online on the MCA V3 portal, so the change affects only who reviews the forms and sends queries.
Is there a Taxhint office I can visit?
Our only office is in Faridabad, at B-363-365, Second Floor, BK Chowk, Faridabad, Haryana 121001. Noida clients work with us online: documents by email or WhatsApp, signatures by DSC, and calls whenever needed. Incorporation needs no visit to the ROC or to us. If you would like to meet, ring +91 93117 95484, which is answered 24 hours, and fix a time.
My Noida flat is on a sub-lease from the builder. Can it be the registered office?
Yes, if the owner can show a document that proves their right to the flat and signs an NOC. Rule 25(2) asks for proof of ownership along with the NOC and a utility bill not older than two months. A registered sub-lease deed works well. If there is only an allotment letter, we review it and suggest another address if it is likely to draw a query.
Can I use a coworking space in Sector 62 or Sector 63?
Yes, a coworking address is accepted when the operator gives a rent agreement in the company’s name, a rent receipt not older than one month, the owner’s NOC with proof of ownership and a recent utility bill. The operator must also receive post for you, since the ROC can verify the office under Section 12(9). We ask for these papers before you pay for a seat.
We plan to move the office from Noida to Faridabad later. What does that involve?
It is a change of state, so it needs Regional Director approval under Section 13(4). The company passes a special resolution, advertises the shift, files INC-23 with the RD (Northern Region-I) at New Delhi, and then files the approval with both ROCs. The Haryana ROC then issues a fresh certificate of incorporation, so tell us early.
What if we shift from Noida to Ghaziabad or Lucknow?
Noida to Ghaziabad stays under ROC Noida, so you pass a special resolution under Section 12(5) and file INC-22 within 30 days, without RD approval. Lucknow falls under ROC Kanpur, so a shift there is a move between two ROCs in the same state, and the proviso to Section 12(5) requires confirmation from the Regional Director first. We prepare both sets of papers.
How many people do we need to start?
A private limited company needs at least two directors and two shareholders, and the same two people can hold both roles. At least one director must have stayed in India for 182 days or more in the financial year, under Section 149(3). No minimum capital applies. A solo founder can instead look at a one person company, which needs only one member.
Will GST registration come with the company?
Yes, if you opt for GST in AGILE-PRO-S with SPICe+ Part B. Your GSTIN would start with 09, the Uttar Pradesh state code. PAN and TAN come with the certificate of incorporation in every case. Manufacturers shipping to Delhi or Haryana need GST from the first inter-state sale of goods, so we usually apply together. Our GST registration service covers the details.
What it costs
Our fee plus the government fee that applies to your case, quoted before you commit. Tell us the situation and we will price it exactly.
Government costs are the MCA fee and Uttar Pradesh stamp duty on the MoA and AoA, both linked to authorised capital and paid online with the filing, plus digital signatures.
