What it is

Company registration is the incorporation of your business as a separate legal person under the Companies Act, 2013. For most Gurugram founders that means a private limited company, with at least two directors, two shareholders and limited liability.

The application is a single web form, SPICe+ (Form INC-32), filed on the MCA V3 portal. Part A reserves the name. Part B carries the e-MoA (INC-33), e-AoA (INC-34) and AGILE-PRO-S, and the company gets its certificate of incorporation, PAN and TAN together. Our detailed guide to private limited company registration walks through every field; this page covers what changes when your office is in Gurugram.

Who it applies to

Tech and SaaS founders

Teams working out of Cyber City, Golf Course Road or Sohna Road who plan to raise money, issue ESOPs or sign enterprise contracts. A private limited company is the format funds and large clients expect.

Professionals leaving a corporate job

A product manager who has freelanced for a year and now has two retainer clients. Incorporating gives limited liability, a business bank account and cleaner books.

Manufacturers and traders

Units in Udyog Vihar, IMT Manesar and along the Dwarka Expressway that supply automotive, apparel or electronics buyers and need a company to qualify as a vendor.

Why it matters

Limited liability

Shareholders risk only what they invested. Your flat in Sector 57 is not on the line if a client contract goes wrong.

Room for investors and ESOPs

Shares can go to angels, funds and employees. A partnership or proprietorship has no shares to give.

Easier vendor onboarding

Many Gurugram corporates onboard only incorporated vendors with a CIN, PAN and GSTIN in the company’s own name.

Using a coworking address as your registered office

Most early-stage Gurugram companies start from a coworking centre, and that works. Section 12(1) of the Companies Act needs a registered office that can receive and acknowledge all communications and notices. A coworking desk qualifies if the operator will actually accept post and notices in your company’s name.

Rule 25(2) of the Companies (Incorporation) Rules, 2014 asks for proof of the address: a notarised lease or rent agreement in the company’s name with a rent receipt not older than one month, the owner’s authorisation (the NOC) with proof of ownership, and a utility bill not older than two months. Here is the catch: not every operator hands these over. Ask for all three before you sign. A “virtual office” package that gives only a letter can draw an ROC query. The Registrar can physically verify the office under Section 12(9), so the name board and post handling must be real.

Documents required

From each director and shareholder

  • PAN card
  • Aadhaar, passport or voter ID
  • Recent bank statement or utility bill as address proof
  • Photograph, email ID and mobile number

For your registered office

  • Rent or coworking agreement in the company’s proposed name
  • NOC from the owner or operator, with ownership proof
  • Electricity or other utility bill not older than two months

For the filing

  • Two name options with the main business activity
  • Authorised and paid-up capital you plan
  • Class 3 digital signatures for directors

How it works

1

Check the name and reserve it

We search the MCA and trademark records, then file SPICe+ Part A. An approved name stays reserved for 20 days.

2

Collect signatures and office proofs

We arrange digital signatures and check the coworking or rent papers against Rule 25(2) before anything is uploaded.

3

File SPICe+ Part B with the ROC Haryana

The form, e-MoA, e-AoA and AGILE-PRO-S go to the Registrar at Chandigarh. GST, EPFO and ESIC can be opted for in the same set.

4

Finish the post-incorporation steps

Bank account, first auditor within 30 days, and INC-20A within 180 days once shareholders have paid for their shares.

Timelines

Name reservation

Name is held for 20 days from approval. A defect must be fixed by resubmission within 15 days.

First auditor

The Board appoints the first auditor within 30 days of incorporation under Section 139(6).

Commencement of business

INC-20A within 180 days of incorporation, confirming every subscriber has paid for their shares (Section 10A).

What happens if you miss it

INC-20A penalty

₹50,000 on the company and ₹1,000 a day on each officer in default, up to ₹1 lakh, under Section 10A(2).

Strike-off risk

With no INC-20A in 180 days, the ROC can start removing the company’s name under Section 248(1)(d).

Office not maintained

Breaking the registered office rules costs ₹1,000 a day, up to ₹1 lakh, for the company and each officer in default (Section 12(8)).

Frequently asked questions

Which ROC registers a company in Gurugram?

The Registrar of Companies (Haryana) at Chandigarh registers it. From 16 February 2026 Haryana got its own ROC covering every district, including Gurugram, and Delhi was split into two ROCs by district. Earlier, Haryana companies were handled by the ROC at Delhi. Filing is still online on the MCA V3 portal; only the jurisdiction and correspondence changed.

Can I use a coworking space in Gurugram as the registered office?

Yes, if the operator gives you the papers Rule 25(2) asks for. You need an agreement in the company’s name, a rent receipt not older than one month, the owner’s NOC with proof of ownership, and a utility bill not older than two months. The office must be able to receive notices. We check the operator’s documents before filing so the ROC has nothing to query.

Can I give my home address in a Gurugram society?

Yes, a residential flat can be the registered office if you have the owner’s NOC and a recent utility bill. If you rent the flat, the landlord signs the NOC. Some housing societies have their own rules about commercial use, so read your society’s terms before you fix the address. Many founders start at home and move to a coworking centre later.

Do I need to visit your Faridabad office?

No, the full process runs online. Directors sign with digital signatures, documents are shared by email or WhatsApp, and we file on the MCA V3 portal. If you prefer to sit across a table, our office is at B-363-365, Second Floor, BK Chowk, Faridabad, Haryana 121001. Our line, +91 93117 95484, is answered 24 hours, so call before you come and the right person will be free.

How many directors and shareholders does a private limited company need?

It needs at least two directors and two shareholders, and the same two people can fill both roles. At least one director must have stayed in India for 182 days or more in the financial year, under Section 149(3). There is no minimum paid-up capital, so you can start small and add capital when you raise funds.

Will the company get GST registration along with incorporation?

It can, if you opt for GST in AGILE-PRO-S, which is filed with SPICe+ Part B. PAN and TAN come with the certificate of incorporation in every case. GST is needed once turnover crosses the threshold or for inter-state supply of goods, and many Gurugram B2B clients insist on it from day one. See our GST registration service for that step.

What is INC-20A and when is it due?

INC-20A is the declaration that every subscriber has paid for their shares, due within 180 days of incorporation under Section 10A. It is verified by a practising CA, CS or cost accountant and backed by the bank statement showing the share money. Missing it means a ₹50,000 penalty on the company. We put the date on your calendar on day one.

If we later move from Gurugram to Faridabad, do we need ROC approval?

No Regional Director approval is needed, because both cities now sit under the same ROC Haryana. In practice, a Gurugram startup that shifts to Faridabad passes a special resolution under Section 12(5), because the new office is outside the city’s local limits, and files INC-22 within 30 days. A move to Delhi or another state is a bigger process through the Regional Director, so plan it early.
