CA for a Nidhi Company: What We Do and What It Costs

If you are searching for a CA for Nidhi company work, you probably want one person who knows the Nidhi Rules and also files the forms on time. A Nidhi is not an ordinary private company, and a few missed returns can cost real money. Here is what a CA actually does for a Nidhi, what drives the fee, and how to pick someone, including when you are searching for a Nidhi company near me.

In this guide

Why a Nidhi needs a CA early

A Nidhi has a single object, takes deposits only from members, and must meet member and net owned fund conditions within a fixed time. Get the structure wrong at the start and you may not qualify for the Central Government declaration at all. A CA or CS who has done Nidhi work before spots these problems while they are still cheap to fix.

That is also why the CA should be involved before you pick directors, fix the capital and draft the objects clause.

What we do at incorporation

For a new Nidhi, our work covers the whole route described in our Nidhi company registration guide and the step-by-step process:

  • Checking that you have 7 members and at least 3 directors, and that paid-up equity capital is at least Rs 10 lakh.
  • Name search and approval, ending in “Nidhi Limited”.
  • Drafting the e-MOA and e-AOA and filing SPICe+ on the MCA V3 portal, with PAN and TAN.
  • DIN and digital signature support for directors.
  • Opening the company bank account and INC-20A for commencement of business within 180 days.

You can see the service itself on our Nidhi company registration page.

NDH-4 and the first 120 days

The most delicate job is the NDH-4 application, filed within 120 days of incorporation. The company must show at least 200 members and net owned funds of Rs 20 lakh, and the promoters and directors must meet the fit and proper test. A CA prepares the member register, the NOF working and the supporting documents, then follows up if the Government raises a query. If the declaration does not come, the company cannot take deposits or lend, so this is where experience pays.

Yearly compliance a CA handles

After the declaration, the work becomes a routine, and missing the routine is how penalties pile up. Our annual compliance checklist for a Nidhi lists everything. In short:

ItemTiming
NDH-3 half-yearly returnWithin 30 days of each half year
NDH-1Return of statutory compliances for the first financial year (second where applicable); within 90 days of year end
Statutory audit and AGMAGM within 6 months of year end
AOC-4 and MGT-7/7A30 and 60 days from the AGM
DIR-3 KYCBy 30 September each year
DPT-3By 30 June; confirm applicability with your CA

The Rules allow a fine of up to Rs 5,000 plus Rs 500 a day for continuing default, so a small delay is not cheap. Always check current due dates on the MCA portal.

What decides the fee

We do not publish a flat number, because two Nidhis can need very different amounts of work. These are the things that move the quote:

  • Number of directors and members, and whether KYC is already in order.
  • Whether you are starting fresh or converting an existing society or firm.
  • Authorised capital, since stamp duty and registration charges depend on it and vary by state.
  • Whether you also want yearly compliance and audit support.

Government fees are separate and change from time to time. For a view of the full budget, read our post on Nidhi company registration cost, then ask us for a quote for your case.

Choosing a CA, near you or online

Most of the work happens on the MCA portal, so you do not need an office around the corner. Distance matters less than track record. Ask:

  • How many Nidhis have you taken through NDH-4, and how did they go?
  • Who will file my returns every half year, and who do I call if a notice arrives?
  • Will you tell me in writing what is and is not included?

Be wary of anyone who promises approval or a fixed outcome. The Government decides on NDH-4, not the CA.

FAQs

Do I need a CA to start a Nidhi company?

The law does not force you to hire one, but the forms and the NDH-4 conditions are easy to get wrong. A CA or CS who has handled Nidhis saves rework and delay.

How much does a CA charge for a Nidhi company?

It depends on the number of directors, capital, state and whether you want yearly compliance too. Ask us for a quote and we will list what is included.

Can I hire a CA for Nidhi company work in another city?

Yes. Incorporation, NDH-4 and returns are filed online, so location barely matters. Documents can be signed digitally or couriered.

Does the CA guarantee NDH-4 approval?

No one can. The Central Government decides, so a CA can only prepare the application properly and respond to queries.
