Online Nidhi Company Registration on the MCA Portal

Online nidhi company registration is done end to end on the MCA V3 portal, so no one needs to visit a Registrar office. The incorporation part is fully online. The step after it, the NDH-4 declaration, is also filed online. This guide covers what you file, what you prepare offline first, and how the MCA Nidhi company route fits with the general Nidhi company registration process.

Forms filed online

For nidhi company registration online, the main filing is SPICe+ (INC-32). It is a combined form that covers name reservation, incorporation, DIN allotment for new directors, and PAN and TAN. Two attachments go with it: the e-MOA (INC-33) and the e-AOA (INC-34).

FormPurpose
SPICe+ (INC-32)Name, incorporation, PAN, TAN, DIN
e-MOA (INC-33)Memorandum with the Nidhi object clause
e-AOA (INC-34)Articles of association
NDH-4Declaration by the Central Government

What to prepare before logging in

  • Digital signature certificates for the directors and subscribers who will sign.
  • The proposed name ending in “Nidhi Limited”, with a second option in hand.
  • Identity and address proof of all subscribers and directors, plus proof of the registered office.
  • A clean draft of the MOA object clause.

The paperwork in full is listed in documents required for Nidhi registration.

How the MCA filing flows

You log in to the MCA V3 portal, pick SPICe+ and fill in the name and company details, then director and subscriber details. After that you attach the e-MOA and e-AOA and sign with the DSCs. A pre-scrutiny check runs and the form goes to the Registrar. On approval you receive the certificate of incorporation, with PAN and TAN issued from the same filing.

Choosing the name and writing the clauses needs more care than the portal screens do, so read our note on name, MOA and AOA clauses before you start.

The online step after incorporation

Once the company exists, the online work is not over. NDH-4 must be filed on the portal within 120 days of incorporation, with at least 200 members and net owned funds of Rs 20 lakh at the time of application. The Central Government has 45 days to decide, and silence is deemed approval. See NDH-4 for a Nidhi company for the steps and the common reasons for rejection.

What still happens offline

Some things cannot be filed on a portal: collecting share money into the bank account, enrolling members, taking their KYC and setting up your accounting and deposit records. Plan these in parallel with the filing. If you want a CA to run the full cycle, see our Nidhi company registration service.

FAQs

Can I register a Nidhi company fully online?

Incorporation is fully online on the MCA V3 portal through SPICe+ with e-MOA and e-AOA. NDH-4 is also filed online. Member enrolment and bank formalities happen outside the portal.

Which form is used for nidhi registration online?

SPICe+ (INC-32), along with INC-33 for the e-MOA and INC-34 for the e-AOA. PAN and TAN come through the same filing.

Is there a separate MCA application for the Nidhi status?

Yes, after incorporation you file NDH-4 within 120 days. That is where the Central Government gives the declaration that allows the company to deal with deposits and loans.

Do I need a digital signature to file online?

Yes, the directors and subscribers who sign the forms need a valid digital signature certificate. Get these arranged before you start, because they often cause the first delay.
