How Long Nidhi Registration Takes, From Incorporation to NDH-4

People ask how long Nidhi company registration takes and expect one number. There are really two stages with two different clocks, and the second one is the one that decides when you can actually take deposits. Here is how the nidhi company formation timeline fits together.

Two stages, not one

Stage one is incorporation as a public company, filed on the MCA V3 portal through SPICe+ (INC-32) with e-MOA (INC-33) and e-AOA (INC-34). PAN and TAN come with the same filing. Stage two is the declaration by the Central Government on Form NDH-4. Until that declaration is in your hands, you are a company called Nidhi Limited that cannot yet accept member deposits or lend.

How long incorporation takes

Incorporation speed depends on how clean the filing is and how busy the Registrar is. A name that clashes with an existing one, a mismatch in director details, or a missing address proof will send the file back and add days. We do not promise a fixed number of days because the MCA portal and the Registrar control that part. Ask us for the current expected turnaround when you are ready to file.

What you control is preparation. Directors with valid DIN and digital signatures, a registered office with proof, and an agreed name make the first filing go through without queries.

The NDH-4 clock: 120 days and 45 days

This is the part with fixed numbers. A company incorporated as a Nidhi must apply on NDH-4 within 120 days of incorporation (Rule 3B, added in 2022). The Central Government then has 45 days to decide, and if it does not decide in that time the application is treated as deemed approved.

On paper, then, the outer limit from incorporation to decision is 120 plus 45 days. In practice you should file well before day 120, since a query or rejection eats into the time you have left. Our NDH-4 guide lists the usual rejection reasons.

What actually slows NDH-4

The application needs at least 200 members and net owned funds of at least Rs 20 lakh. Collecting 200 genuine members is usually the longest job, not the form itself. Capital is the other usual delay: a company that incorporated with the Rs 10 lakh minimum and only then starts raising the rest will watch the 120 days run down. Promoters and directors must also meet the fit and proper criteria, so sort out any pending filings or disqualification worries before you apply.

A sensible plan

  • Before incorporation: fix the name, the capital and the member list targets
  • Weeks after incorporation: open the bank account, bring in capital, start enrolling members
  • Well before day 120: file NDH-4 with the member list and NOF proof ready
  • After the declaration: begin deposits and loans, and diarise INC-20A before day 180
