MSCS Annual Compliance Checklist
A registration certificate is only the start; staying in good standing is a matter of keeping to a calendar. Below are the recurring duties of a Multi-State Co-operative Society under the 2002 Act as amended in 2023, with section numbers wherever we have them. Check exact dates and forms against the Act, the Rules and the CRCS portal before you act.

The yearly cycle
| When | What | Source |
|---|---|---|
| Financial year ends 31 March | Close books; the Act defines the year as ending on 31 March unless the Registrar approves another date | Section 3 |
| Within six months of year end | Complete the audit; failing to do so affects directors’ eligibility for re-election | Sections 70, 43 |
| Within six months of year end | Hold the annual general meeting | Section 39 |
| After the audit and AGM | File the annual return, now online through the CRCS portal, within the prescribed time | Section 120 and Rules |
| Every five years | Board elections through the Co-operative Election Authority | Section 45J |
| Whenever needed | Special general meeting on requisition; the chief executive calls it within one month | Section 40 |
Audit
Your accounts have to be audited by auditors who hold the prescribed qualifications. Reports say large and small societies draw from separate auditor panels, and concurrent audit kicks in above notified size thresholds. See our post on audit and annual return for details.
General meeting
It is the board’s job to call the annual general meeting within six months of year end. The agenda covers the audited accounts, audit reports, how profit is disposed of, reserves and budgets. Read our AGM guide.
Statutory funds
Before any distribution, the Act wants net profit set aside for the reserve fund and a co-operative education fund. Skip the contribution to the education or rehabilitation funds and your directors can become ineligible for re-election.
Governance housekeeping
- Keep minutes of every board and general body meeting.
- Maintain member, share and loan registers that reconcile to the accounts.
- Keep the registered name and address displayed (Section 15) and the registered address, including email, current (Section 14).
- Name an information officer and handle member grievances, per the 2023 amendment.
Tax and other filings
Apart from the CRCS, a society may also have income tax return, TDS and GST obligations, depending on what it does and its turnover. Our page on society annual compliance covers these.
Make it routine
Keep a compliance calendar, clean records and software that produces the reports you need, and this becomes routine work instead of a last-minute scramble. See our Multistate Co-op Society Software.
