AGM of a Multi-State Co-operative Society: Notice, Agenda and Timing

In a Multi-State Co-operative Society the general body has the final say, and the annual general meeting is the day members actually use it. Here is when to hold it, what goes on the agenda and where societies usually slip.

What the Act says

Under Section 38, the ultimate authority of the society sits with the general body. Section 39 then requires the board to call the annual general meeting within the prescribed period, and never later than six months after the year closes. So for a year ending 31 March, the AGM must be held by 30 September.

What the AGM deals with

  • Adoption of the audited accounts and the audit report.
  • Disposal of profit and allocation to reserves and funds.
  • The budget for the coming year.
  • Any election or other matters under the Act and bye-laws.

Notice and quorum

Notice period and quorum come from the Rules and your bye-laws, so read both. The Act itself fixes 15 days’ notice for a meeting to amend bye-laws, and the board’s own quorum is one-third of its elected directors. Never assume a notice period; confirm it in your bye-laws.

Special general meetings

Section 40 lets the chief executive call a special general meeting when the board directs, and requires one within one month of receiving a requisition. It suits urgent matters, bye-law amendments for example.

Pre-AGM checklist

  1. Finish the audit so accounts are ready.
  2. Fix the date, time and venue, with the date inside the six-month limit.
  3. Issue the notice with the agenda and accounts to every member entitled.
  4. Prepare attendance records and proxies as the bye-laws allow.
  5. Record minutes and have them signed.
  6. File the return on the CRCS portal after the AGM.

Common mistakes

  • Holding the AGM after six months, which can make directors ineligible for re-election.
  • Skipping notice to members in some states.
  • Minutes that do not record the resolutions passed.
